6. TERMINATION
6.1 On successful registration and acceptance as a Funds-Axis.com user, you shall be entitled to use Funds-Axis.com subject to these conditions, which will remain effective until terminated in accordance with the following provisions.
6.2 Your right to continue to use Funds-Axis.com will terminate immediately on written notice from us if:
(i) you fail to comply with any of these conditions (including without limitation the prohibitions on sharing or disclosure of user name(s) and password(s) set out in clause 2 (Access to the Online Service) and on the reproduction of Materials set out in clause 9.3); or
(ii) you become insolvent or bankrupt.
6.3 In the circumstances set out in clause 6.2 you will not be entitled to any refund.
6.4 We may notify you by giving 1 month’s prior written notice if we choose to cease to provide Funds-Axis.com for any reason. In these circumstances we shall on request refund to you the pro rata share of the annual fee paid by you which relates to the unexpired part of the year in relation to which such annual fee was paid.
6.5 Written notices as required by these conditions will be sent either by email or post to the relevant party’s address as set out in the most recent registration details provided by you in accordance with clause 8.
6.6 If you are notified of termination of your rights of use, you must immediately destroy all of your copies of the Materials.


7. LICENCE, COPYRIGHT AND INTELLECTUAL PROPERTY RIGHTS
7.1 We grant you a non-exclusive, non-transferable licence to use the Online Service for:
(a) the Trial Period; and
(b) following expiry of the Trial Period for 1 year, and for yearly periods afterwards, on the payment of an annual renewal fee.
7.2 This licence to use the materials and information made available through the Online Service including without limitation any news items published in the site (the "Materials") is granted on these terms and conditions.
7.3 The contents of the Online Service are protected by international copyright laws and other intellectual property rights. The owner of these rights is Funds-Axis Limited or other third party licensors. All product and company names and logos contained within our web site or the Online Service are the trade marks, service marks or trading names of their respective owners, including us;
7.4 Nothing in these conditions shall take effect so as to give you any rights in relation to copyright, trade marks or other intellectual property rights in Funds-Axis.com, other than the limited rights of use of such service set out in these terms and conditions;
7.5 Except as permitted by applicable law, you agree not to copy, modify or reverse engineer any part of Funds-Axis.com;
7.6 You hereby indemnify us against any and all liability for any and all copyright infringement or the breach of any other intellectual property right that is caused by your failure to abide by these terms and conditions;
7.7 We shall indemnify and hold you harmless from against all and any losses, liabilities, demands, claims, costs and expenses arising directly as a result of or in connection with any claim that the Online Service infringes any intellectual property rights of any third party provided that you:
(a) notify us promptly upon becoming aware of any matter or claim to which the indemnity relates;
(b) do not make any admission or settlement in respect of such matter or claim without our prior consent; and
(c) allow us, where appropriate, to appoint legal advisers of our choice and to conduct and/or settle negotiations and/or proceedings relating to such matter or claim or (where it is not appropriate for us to have conduct of such negotiations and/or proceedings) you shall comply with our reasonable requests in the conduct of any such negotiations and/or proceedings;
7.8 The indemnity in clause 7.7 shall not apply if and to the extent that the relevant losses, costs, damages, liabilities and/or expenses are due to breach by you of any of your obligations under these terms and conditions.


8. YOUR DETAILS
8.1 You undertake that all details you provide to us for the purpose of subscribing to the Online Service for the Trial Period or otherwise will be correct.
8.2 You agree to keep these details updated at all times.


9. YOUR USE OF FUNDS-AXIS.COM
9.1 General
9.1.1 You agree that you will only use Funds-Axis.com in a manner that is consistent with these terms and conditions and in such a way as to ensure compliance with all applicable laws and regulations. Unless otherwise specified, the Materials are presented solely for your own internal business use and may not be re-sold;
9.1.2 You agree to take full responsibility for the use of Funds-Axis.com made by you and accordingly you accept liability under these terms and conditions for third party use of Funds-Axis.com which is in breach of these conditions; and
9.1.3 To the extent to which your use, or the use by any employee or person authorised by you causes loss or damage to any user of the Funds-Axis.com web site, or any other person, you agree to indemnify us immediately on demand in relation to any such losses or damages attributable to you, including where necessary any legal and administrative, or technical charges that may arise from such use.

9.4 We reserve the right to suspend the services offered to you by Funds-Axis.com if we have reasonable cause to suspect that you are in breach of any of the terms of these conditions.


10. MODIFICATION TO THE ONLINE SERVICE
Subject to your rights set out in clause 6 (Termination), we reserve the right to alter, suspend or discontinue any aspect of the Online Service, including your access to it. Unless explicitly stated any new features will be subject to these terms and conditions.

Your use of www.fundscareer.com is goverened by the terms and conditions set out on the www.fundscareer.com website. In particular, FundsCareer Limited shall not be liable for any losses as a result of reliance on information provided on that website.

11.3 Applicability of Online Materials
11.3.1 We have used commercially reasonable endeavours to ensure that all Materials comply with UK law but we make no representations that the Materials and the Online Service are appropriate or available for use in the UK. Failure or neglect by Funds-Axis Limited to enforce at any time any of the provisions of these terms and conditions shall not be construed nor shall be deemed to be a waiver of Funds-Axis Limited’s rights under these terms and conditions nor in any way affect the validity of the whole or any part of these terms and conditions nor prejudice Funds-Axis Limited’s rights to take subsequent action.

13. SEVERABILITY
In the event that any of the terms, conditions or provisions of these terms and conditions shall be determined by an competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision shall to that extent be severed from the remaining terms, conditions and provisions which shall continue to be valid to the fullest extend permitted by law.

14. FORCE MAJEURE
Funds-Axis Limited shall not be liable to you in respect of anything that may constitute breach of this Agreement arising by reason of force majeure, namely circumstances beyond the control of Funds-Axis Limited which shall include (but shall not be to) acts of God, perils of the sea or air, fire, flood, drought, explosion, sabotage, accident, embargo, telecommunications and utilities failure, riot, civil commotion or civil authority, including acts of local government and parliamentary authority, breakdown of plant or machinery or software or death of royalty.

15 APPLICABLE LAW AND JURISDICTION
The laws of England and Wales shall govern these conditions and your use of Funds-Axis.com and the parties hereby submit to the exclusive jurisdiction of the English courts.

16 MISCELLANEOUS
16.1 We may assign, novate or subcontract any or all of our rights and obligations under these terms and conditions at any time.
16.2 We may make changes to these terms and conditions by giving at least 30 days written notice to you. For avoidance or doubt, written notice includes e-mail.
